Effective: April 13, 2026
This EULA governs your use of all Luxedeum and Monster Gaming products, including software applications, AI systems and models, SDKs, APIs, binaries, firmware, toolchains, and updates (collectively, the "Software").
You accept this EULA by clicking "I Agree," downloading, installing, or using the Software, or by integrating the Software into your own products or services.
3.1 Subject to the terms of this EULA, Luxedeum grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install, execute, and use the Software; integrate the Software into your products; and develop products using the Software for internal or authorized commercial purposes.
3.2 This license is effective until terminated in accordance with Section 16.
3.3 All rights not expressly granted herein are reserved by Luxedeum.
You may:
5.1 Technical Restrictions. You shall not reverse engineer, decompile, or disassemble the Software, except to the extent such activity is expressly permitted by applicable law. You shall not derive models or training data from the Software.
5.2 Competitive Restrictions. You shall not use the Software to build competing platforms, engines, or AI systems, or to conduct competitive benchmarking.
5.3 Misuse. You shall not bypass or circumvent any security mechanism, engage in API abuse, or deploy the Software in unauthorized environments.
5.4 AI Restrictions. You shall not use Software outputs to train other AI systems, nor engage in model extraction of any kind.
6.1 Binary Distribution. You may distribute the Software in object code form as part of your application, provided the Software is integrated (not distributed standalone), does not expose underlying functionality, and preserves all proprietary notices.
6.2 Source Code. Source code access is limited to internal development purposes only. Modification is permitted only as expressly authorized. Redistribution of source code is prohibited unless separately licensed.
7.1 You may create derivative works solely to build applications and integrate the Software.
7.2 Luxedeum retains all rights in the Software and underlying technology. You retain all rights in your application. No ownership of the underlying technology transfers to you.
8.1 Luxedeum grants you a limited, worldwide, royalty-free patent license covering patents necessary to use the Software, including LuxPolyGot (LUX-221), WayvGear technologies, and associated patent portfolios.
8.2 Patent Peace. If you assert patent claims against Luxedeum or its affiliates relating to the Software, ALL licenses granted under this EULA terminate immediately.
8.3 The patent license granted herein does not extend beyond what is necessary for your use of the Software.
You must retain all copyright notices and proprietary markings, include attribution to Luxedeum in your product documentation, and include a copy of or link to this EULA in distributions that include the Software.
The Software may include open-source components, which are governed by their respective licenses. Open-source components and their licenses are disclosed in the accompanying documentation.
11.1 You own the outputs generated by your use of the Software.
11.2 Luxedeum retains all rights in its models, algorithmic improvements, and system architecture.
11.3 You shall not use outputs to train competing models, reverse engineer AI components, or extract training data from the Software.
11.4 AI-generated outputs may be inaccurate. You are solely responsible for independently validating all outputs before relying on them.
You shall comply with all applicable export control laws, including the Export Administration Regulations (EAR) and OFAC sanctions. You shall not export the Software to any restricted jurisdiction.
The Software is "Commercial Computer Software" as defined in FAR 12.212 and DFARS 227.7202. US Government users acquire only the rights set forth in this EULA.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LUXEDEUM DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUXEDEUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. LUXEDEUM'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100 USD) OR THE TOTAL AMOUNT YOU PAID TO LUXEDEUM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
This EULA and all licenses granted herein terminate automatically if you breach any term, become insolvent, or Luxedeum discontinues the Software. Upon termination, all rights cease immediately and you must delete all copies of the Software in your possession.
The following provisions survive termination: intellectual property rights, patent provisions (Section 8), limitation of liability (Section 15), indemnification obligations, and confidentiality requirements.
This EULA is governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict of law principles.
All disputes arising under this EULA shall be resolved by binding arbitration in the State of Nevada. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
This EULA constitutes the entire agreement between you and Luxedeum with respect to the Software and supersedes all prior or contemporaneous communications, representations, or agreements.
